Terms of Service

1. Services

Antimagic provides agentic AI consulting services including strategy consulting, custom AI agent development, system integration, training, and fractional CTO services. The specific scope, deliverables, and terms of each engagement will be defined in a separate Statement of Work (SOW) or service agreement.

2. Engagement Terms

All consulting engagements are governed by a mutually agreed-upon Statement of Work that outlines:

  • Scope of services and deliverables
  • Timeline and milestones
  • Pricing and payment schedule
  • Roles and responsibilities
  • Acceptance criteria

3. Payment Terms

Unless otherwise specified in your SOW:

  • Monthly retainer fees are invoiced at the beginning of each month
  • Payment is due within 15 days of invoice date (net-15)
  • Late payments may incur a fee of 1.5% per month
  • Project-based engagements require a 50% deposit before work begins

4. Intellectual Property

Unless otherwise agreed in writing:

  • Client IP: All custom code, models, and deliverables created specifically for you are your intellectual property upon full payment.
  • Antimagic IP: Pre-existing tools, frameworks, methodologies, and general knowledge remain the property of Antimagic.
  • Open Source: Any open-source components used will be clearly identified and subject to their respective licenses.

5. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, technical architectures, data, and trade secrets. Confidentiality obligations survive the termination of any engagement.

6. Limitation of Liability

To the maximum extent permitted by law, Antimagic's total liability for any claims arising from our services shall not exceed the total fees paid by you in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

7. Warranties

We warrant that our services will be performed in a professional manner consistent with industry standards. We do not guarantee specific business outcomes, revenue increases, or AI model performance metrics unless explicitly stated in your SOW.

8. Termination

Either party may terminate an engagement:

  • With 30 days' written notice for monthly retainer engagements
  • Immediately for material breach that remains uncured for 15 days after written notice
  • Upon completion of all deliverables for project-based engagements

Upon termination, you will receive all completed work product and be invoiced for services rendered through the termination date.

9. Website Use

By using this website, you agree to:

  • Use the site for lawful purposes only
  • Not attempt to gain unauthorized access to any part of the site
  • Not use automated tools to scrape or collect data from the site
  • Provide accurate information when submitting forms

10. Governing Law

These terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

11. Changes to Terms

We reserve the right to update these terms at any time. Material changes will be communicated via email to active clients and posted on this page.
